1 Tillämpningsområde

1. Dessa riktlinjer gäller för resolutionsmyndigheter.

2. Dessa riktlinjer är tillämpliga med avseende på artikel 79 i förordning (EU) 2021/23 om återhämtning och resolution av centrala motparter och gäller typer av och innehållet i bestämmelser som ligger till grund för samarbetsarrangemang.

Dessa riktlinjer börjar gälla två månader efter det datum då de offentliggjorts på Esmas webbplats på EU:s officiella språk.

2.3 Definitioner
Om inte annat anges har de termer som används i dessa riktlinjer samma betydelse som i förordningen om återhämtning och resolution av centrala motparter, Emir och de delegerade förordningarna (EU) nr 152/2013 och (EU) nr 153/2013.
3 Syfte
Dessa riktlinjer grundar sig på det lagstiftningsmandat som anges i artikel 79.4 andra stycket i förordningen om återhämtning och resolution av centrala motparter. Enligt artikel 79.4 ska Esma utfärda riktlinjer om de typer av bestämmelser som kan tillämpas på ovannämnda samarbetsarrangemang, samt om innehållet i sådana bestämmelser. Syftet med dessa riktlinjer är att fastställa konsekventa, effektiva och ändamålsenliga tillsynsmetoder inom det europeiska systemet för finansiell tillsyn (ESFS) och säkerställa en gemensam, enhetlig och konsekvent tillämpning av artikel 79.3 och 79.4 i förordningen om återhämtning och resolution av centrala motparter.
4 Efterlevnads- och rapporteringsskyldigheter
4.1 Riktlinjernas status
Enligt artikel 16.3 i Esmaförordningen ska behöriga myndigheter (dvs. de resolutionsmyndigheter som utsetts i enlighet med artikel 3 i förordningen om återhämtning och resolution av centrala motparter) med alla tillgängliga medel söka följa dessa riktlinjer.
Behöriga myndigheter eller resolutionsmyndigheter som omfattas av dessa riktlinjer bör följa dem genom att införliva dem i sina nationella rättsliga ramar och/eller tillsyns- och resolutionsramar, beroende på vad som är lämpligt.
4.2 Rapporteringskrav
Inom två månader efter det datum då riktlinjerna har offentliggjorts på Esmas webbplats på alla officiella EU-språk ska behöriga myndigheter som omfattas av dessa riktlinjer meddela Esma om de i) följer, ii) inte följer men avser att följa eller iii) inte följer och inte avser att följa riktlinjerna.
Om riktlinjerna inte följs ska behöriga myndigheter också inom två månader efter det datum då riktlinjerna har offentliggjorts på Esmas webbplats på alla officiella EU-språk meddela Esma om skälen till varför de inte följer riktlinjerna.
En mall för anmälan finns att tillgå på Esmas webbplats. Så snart mallen har fyllts i ska den översändas till Esma.
5 Riktlinjer om typer av bestämmelser i samarbetsarrangemang och innehållet i dessa
5.1 Del 1 – Syfte, tillämpningsområde och allmänna bestämmelser
Riktlinje 1
I ett samarbetsarrangemang bör arrangemangets syfte och mål fastställas, samtidigt som det innehåller definitioner i den utsträckning som krävs.
Samarbetsarrangemang bör fastställa metoder för samarbete och interaktion mellan de undertecknande parterna, inklusive regelbundet informationsutbyte, både i samband med krisförberedelser under perioder med oförändrade förhållanden och vid resolutionssituationer och i kristider, till exempel när resolutionsverktyg tillämpas.
Riktlinje 2
Samarbetsarrangemang bör inte vara rättsligt bindande och bör inte ligga till grund för rättigheter, skyldigheter eller åtaganden som kan göras gällande av de myndigheter som undertecknat samarbetsarrangemanget eller någon tredje part. I samarbetsarrangemanget bör det anges att det bygger på ömsesidighet och att det inte innebär ett upphävande av immunitet eller privilegier.
I samarbetsarrangemanget bör det också anges att det inte ersätter nationell lagstiftning eller unionslagstiftning, och att det inte ändrar eller ersätter liknande tidigare arrangemang, såsom samförståndsavtal, samarbetsförklaringar, samarbetsavtal och avtal om tekniskt bistånd.
Samarbetsarrangemang bör inte skapa konflikter med andra liknande tidigare arrangemang eller avtal som de myndigheter som undertecknat samarbetsarrangemanget är part i.
I samarbetsarrangemanget kan det fastställas att det med jämna mellanrum ska ses över och revideras genom ömsesidig överenskommelse. Varje myndighet som har undertecknat samarbetsarrangemanget får ensidigt frånträda ett samarbetsarrangemang genom att i rimlig tid skriftligen underrätta den andra parten om detta.
5.2 Del 2 – Typer av och innehåll i de bestämmelser som samarbetsarrangemang kan omfatta
Riktlinje 3
Samarbetsarrangemang bör täcka alla områden för samarbete och informationsutbyte, så att det främjar en effektiv gränsöverskridande resolutionsplanering och effektiva resolutionsåtgärder, med beaktande av de undertecknande myndigheternas behörighetsområden och befogenheter.
Samarbetsarrangemanget bör göra det möjligt för en EU-myndighet att erhålla den information som den behöver för att kunna utföra de uppgifter som anges i artikel 79.3 i förordningen om återhämtning och resolution av centrala motparter och utöva sina befogenheter avseende resolution, bedömning av möjligheten till resolution, åtgärder för att undanröja hinder för resolution och åtgärder för tidigt ingripande för de centrala motparterna (eller för identifierade grupper som inbegriper dessa centrala motparter) enligt förordningen om återhämtning och resolution av centrala motparter.
Med förbehåll för proportionalitetsprincipen bör informationsutbytet omfatta, men inte begränsas till, de aspekter som anges i riktlinjerna 4–8 nedan.
Riktlinje 4
De myndigheter som undertecknat ett samarbetsarrangemang bör sträva efter att utbyta den information som är nödvändig för att förbereda, utarbeta och upprätthålla resolutionsplaner i enlighet med artikel 12 i förordningen om återhämtning och resolution av centrala motparter och liknande krav i tredjelandets lagstiftning, inbegripet men inte begränsat till följande:
Om resolutionsplanen tar hänsyn till situationer med större finansiell instabilitet eller systemomfattande händelser, och om den möjliga situation och de scenarier som identifierats involverar tredjelandet.
Om det finns identifierade kopplingar till ett tredjeland när det gäller clearingmedlemmar (och deras kunder och indirekta kunder i den mån informationen är tillgänglig) eller anknutna finansmarknadsinfrastrukturer.
Om det finns ömsesidiga beroenden eller gemensamma finansiella marknader.
Om det finns handelsplatser som betjänas av den centrala motparten och som är belägna i tredjelandet.
Om resolutionsplanen beaktar och tar hänsyn till det finansiella systemet i ett visst tredjeland.
Dessutom bör myndigheterna sträva efter att samråda och samarbeta vid utarbetandet av resolutionsplanen inom den tidsram som anges i riktlinje 10, med beaktande av principerna i artikel 77 i förordningen om återhämtning och resolution av centrala motparter eller liknande bestämmelser i tredjelandets lagstiftning.
Riktlinje 5
De myndigheter som har undertecknat samarbetsarrangemanget bör sträva efter att utbyta den information som krävs för att göra bedömningen av möjligheten till resolution enligt artikel 15 i förordningen om återhämtning och resolution av centrala motparter (inklusive de aspekter som anges i avsnitt C i bilagan till nämnda förordning) och liknande krav enligt tredjelandets lagstiftning, däribland men inte begränsat till information om följande: Om den centrala motparten har kärnaffärsområden, rättsliga strukturer och företagsstrukturer samt kritisk verksamhet som har anknytning till eller är kopplad till ett tredjeland.
Om det finns finansieringsberoenden som är kopplade till ett tredjeland.
Om det finns väsentliga servicenivåavtal som är knutna till, sammanlänkade med eller etablerade i ett tredjeland.
Om det är relevant att överväga processer för övergång av tjänster som tillhandahålls inom ramen för servicenivåavtal i ett tredjeland, till exempel vid separering av kritiska funktioner eller kärnaffärsområden.
Om det finns betalnings- och/eller avvecklingssystem som är relevanta för den centrala motparten i ett tredjeland.
Om det finns ett beroende av information från enheter i tredjeland som är relevant för den centrala motparten.
Om det finns koncerninterna beroenden i ett tredjeland.
Om det planeras att en myndighet i ett tredjeland bistår resolutionsmyndigheten i en resolutionssituation.
Om det kan förutses att resolutionsverktyg ska tillämpas på ett sådant sätt att resolution kan ha en väsentlig inverkan på, eller delvis genomföras i, ett tredjeland.
Om den centrala motparten har clearingmedlemmar eller säkerhetsarrangemang i ett tredjeland och detta skulle kunna påverka resolutionen.
Om trovärdigheten i att tillämpa resolutionsverktyg på ett sätt som uppfyller resolutionsmålen är beroende av möjliga åtgärder som vidtas av myndigheter i tredjeland.
Om den centrala motpartens resolution kan påverka det finansiella systemet, inverka på finansmarknadens förtroende och om det finns risker för spridning som är kopplade till eller relevanta för ett tredjeland.
Riktlinje 6
De myndigheter som har undertecknat samarbetsarrangemanget bör sträva efter att utbyta information om tillämpningen av befogenheter för att åtgärda eller undanröja hinder för möjligheten till resolution enligt artikel 16 i förordningen om återhämtning och resolution av centrala motparter och liknande befogenheter enligt tredjelandets lagstiftning, inbegripet men inte begränsat till information om deras inverkan på den centrala motpartens affärsmodell.
I samarbetsarrangemanget bör det också fastställas att de myndigheter som undertecknat detsamma ska undvika åtgärder som rimligen kan förväntas utgöra väsentliga hinder för möjligheten till resolution genom försök att påverka resolutionsplanen eller skapa instabilitet någon annanstans inom den centrala motparten eller koncernen, eller i det finansiella systemet i den andra myndighetens jurisdiktion.
Riktlinje 7
De myndigheter som undertecknat ett samarbetsarrangemang bör sträva efter att dela information om tillämpningen av åtgärder för tidigt ingripande enligt artikel 18 i förordningen om återhämtning och resolution av centrala motparter, inbegripet men inte begränsat till information om när den behöriga myndigheten har konstaterat att ett av de villkor som avses i artikel 18.1 i nämnda förordning har uppfyllts i enlighet med artikel 18.6 i samma förordning, eller när en eller flera av de indikatorer som anges i riktlinjerna för tidigt ingripande (utfärdade i enlighet med artikel 18.8 i samma förordning) har uppfyllts och myndigheten anser att situationen är väsentlig eller betydande och har liknande befogenheter enligt lagstiftningen i tredjelandet.
I samarbetsarrangemanget bör det också fastställas att de myndigheter som undertecknat detsamma i den mån det är möjligt ska undvika åtgärder som rimligen kan förväntas utgöra väsentliga hinder för möjligheten till resolution genom att anta åtgärder för tidigt ingripande som kan utlösa instabilitet någon annanstans hos den centrala motparten eller inom koncernen, alternativt i det finansiella systemet i den andra myndighetens jurisdiktion.
Riktlinje 8
De myndigheter som har undertecknat samarbetsarrangemanget bör sträva efter att utbyta information om tillämpningen av resolutionsverktyg och utövandet av resolutionsbefogenheter enligt avdelning III, kapitel 1, avsnitt 2 i förordningen om återhämtning och resolution av centrala motparter samt enligt liknande befogenheter som tilldelats den relevanta tredjelandsmyndigheten, inbegripet men inte begränsat till följande information:
Om tillämpningen av något av resolutionsverktygen skulle kunna ha en väsentlig inverkan på EU-marknaden, ett tredjelands marknad eller på en enhet som är etablerad i EU (eller som ingår i en koncern som är etablerad i EU) eller i tredjelandet.
Om verktygen för fördelning av positioner och förluster i väsentlig grad påverkar transaktioner med en enhet som är etablerad i EU (eller som ingår i en koncern som är etablerad i EU) eller i ett tredjeland.
Om verktyget för nedskrivning och konvertering på ett betydande sätt påverkar den ekonomiska ställningen hos en enhet som är etablerad i EU (eller som ingår i en koncern som är etablerad i EU) eller i ett tredjeland.
Om verktyget för försäljning av affärsverksamhet påverkar, berör eller är kopplat till en enhet som är etablerad i EU (eller som ingår i en koncern som är etablerad i EU) eller ett tredjeland.
Om broinstitutsverktyget påverkar en enhet som är etablerad i EU (eller som ingår i en koncern som är etablerad i EU) eller ett tredjeland.
Riktlinje 9
Vid en gemensam resolutionsåtgärd bör de myndigheter som undertecknat samarbetsarrangemanget samarbeta för att fastställa gemensamma förfaranden och mallar för användning vid den gemensamma resolutionsåtgärden. Myndigheterna bör sträva efter att inrätta förfaranden och processer för att uppnå en konsekvent och effektiv extern offentlig kommunikation i samband med resolutionsåtgärder.
Riktlinje 10
Samarbetsarrangemanget bör säkerställa att information utbyts i god tid. Samarbetsarrangemanget bör ange olika tidsfrister för informationsutbytet, med beaktande av proportionalitetsprincipen, beroende på skälet till det planerade informationsutbytet och samarbetet:
a) Myndigheterna bör sträva efter att samråda och samarbeta vid utarbetandet av resolutionsplanen enligt riktlinje 4, där informationen bör vara relevant och presenteras i ett format som utformats av den myndighet som är behörig för resolution av den centrala
motparten, för att säkerställa dess relevans för resolutionsplanen. Denna information bör tillhandahållas inom en viss tidsperiod med iakttagande av proportionalitetsprincipen.
b) Myndigheterna bör sträva efter att komma överens om förfaranden och arrangemang för att säkerställa att de i god tid och på ett effektivt sätt får kännedom och kunskap om varandras resolutionsförfaranden i enlighet med principerna i artikel 77 i förordningen om återhämtning och resolution av centrala motparter.
c) Myndigheterna bör sträva efter att samråda och samarbeta vid bedömningen av möjligheten till resolution enligt riktlinje 5, och i synnerhet bör informationen vara relevant och presenteras i ett format som utformats av den myndighet som är behörig för resolution av den centrala motparten, för att säkerställa dess relevans för bedömningen av möjligheten till resolution. Denna information bör tillhandahållas inom en viss tidsperiod med iakttagande av proportionalitetsprincipen.
d) Myndigheterna bör sträva efter att samråda och samarbeta vid tillämpningen av befogenheter för att åtgärda eller undanröja hinder för möjligheten till resolution enligt riktlinje 6, och i synnerhet bör informationen vara relevant och presenteras i ett format som utformats av den myndighet som är behörig för resolution av den centrala motparten, för att säkerställa dess relevans. Denna information bör tillhandahållas inom en viss tidsperiod och med iakttagande av proportionalitetsprincipen.
e) Myndigheterna bör sträva efter att samråda och samarbeta i arbetet med att identifiera, bedöma och tillämpa åtgärder för tidigt ingripande enligt riktlinje 7 och bör särskilt säkerställa ett effektivt och snabbt informationsutbyte.
f) Myndigheterna bör sträva efter att samråda och samarbeta i fråga om tillämpningen av resolutionsverktyg och utövandet av resolutionsbefogenheter enligt riktlinje 8 och bör särskilt säkerställa ett effektivt och snabbt informationsutbyte.
Myndigheterna bör godta en begäran om information från den andra myndighet som undertecknat samarbetsarrangemanget i det överenskomna formatet. Myndigheten bör i överenskommet format informera den andra myndigheten vid eventuella förseningar i tillhandahållandet av den begärda informationen. I händelse av en sådan försening bör myndigheten också tillhandahålla en justerad tidsfrist med en reviderad tidsplan för tillhandahållandet av informationen. Myndigheterna bör komma överens om kommunikationsvillkoren genom att upprätta förteckningar över kontaktuppgifter i enlighet med dataskyddsbestämmelserna, och om kommunikationsmedlen, till exempel genom att använda säkra e-postmeddelanden.
I krisperioder bör myndigheterna intensifiera samarbetet och informationsutbytet samt samarbeta och utbyta information i ett tillräckligt tidigt skede, i enlighet med vad som anges i led e och f ovan.
5.3 Del 3 – Konfidentialitetsaspekter
Riktlinje 11
I samarbetsarrangemang bör det definieras vilken typ av information som ska betraktas som konfidentiell. Samarbetsarrangemanget förväntas säkerställa att all information som kan omfattas av konfidentialitetskrav enligt unionsrätten betraktas som konfidentiell enligt samarbetsarrangemanget.
Samarbetsarrangemanget bör fastställa förfaranden för utlämnande och vidarebefordran av konfidentiell information för att säkerställa dess skydd, samtidigt som en nödvändig nivå av informationsutbyte mellan myndigheterna och tredje parter upprätthålls i syfte att planera eller genomföra en resolutionsåtgärd eller för att rättskipningen ska fungera väl.
Utlämnande av konfidentiell information till en tredje part bör endast ske i enlighet med artiklarna 8, 73 och 80 i förordningen om återhämtning och resolution av centrala motparter.
När en myndighet är rättsligt skyldig att lämna ut den mottagna konfidentiella informationen ska den samarbeta fullt ut med den andra myndigheten för att hålla informationen konfidentiell, i den utsträckning detta är tillåtet enligt lagstiftningen för den myndighet som begärde informationen. Den ska samråda med den myndighet som tillhandahöll informationen innan den vidarebefordrar informationen till den begärande enheten och, om den myndigheten inte samtycker till att vidarebefordra informationen, ska den myndighet som är skyldig att lämna ut konfidentiell information
a) hävda lämpliga rättsliga undantag eller privilegier med avseende på informationen,
b) upplysa den begärande enheten om att ett påtvingat utlämnande skulle kunna inverka negativt på utländska tillsynsmyndigheters framtida överföring av konfidentiell information, och begära att informationen hålls konfidentiell av det begärande organet.
I samarbetsarrangemanget bör det också anges att delning och utlämnande av konfidentiella uppgifter inte ska betraktas som ett avstående från privilegier eller konfidentialitet.
Riktlinje 12
I samarbetsarrangemanget bör det specificeras och godtas att en EU-myndighet behandlar personuppgifter i enlighet med EU:s tillämpliga rättsliga ram, särskilt förordning (EU) 2018/1725 eller förordning (EU) 2016/679, beroende på vad som är tillämpligt. Samarbetsarrangemangen bör också hänvisa till tillämplig lagstiftning för myndigheten i tredjelandet.
Samarbetsarrangemanget bör säkerställa att överföring av personuppgifter, i avsaknad av ett beslut om adekvat skyddsnivå enligt artikel 45.3 i förordning (EU) 2016/679, endast kommer att ske om myndigheten i tredjelandet har vidtagit lämpliga skyddsåtgärder och på villkor att lagstadgade rättigheter för registrerade och effektiva rättsmedel för registrerade finns tillgängliga. Om ett sådant villkor inte är uppfyllt bör delning av data endast ske på anonymiserad basis.
Det är möjligt att i samarbetsarrangemanget hänvisa till Ioscos administrativa överenskommelse om överföring av personuppgifter mellan EES-myndigheter och myndigheter utanför EES, om båda myndigheterna är undertecknande parter. Som undertecknande parter bör myndigheterna försäkra att de kommer att agera i enlighet med den administrativa överenskommelsen när det gäller överföring av personuppgifter mellan dem.
6 Bilaga 1 – Mall för samarbetsarrangemang
1. Preambles
The global financial markets involve financial institutions and groups that operate across borders, with many institutions operating both within one or more Member States of the European Union (‘EU’) and in [name of third country].
A recovery and resolution framework further bolsters the preparedness of CCPs and authorities to mitigate financial distress and provide authorities with further insight into CCPs’ preparations for stress scenarios. It also provides authorities with powers to prepare for the potential resolution of a CCP and deal with the declining health of a CCP in a coordinated manner, thus contributing to the smooth functioning of financial markets.
Under the domestic legal frameworks of [name of European authority] and [name of third country authority] (hereinafter collectively referred to as ‘the Parties’) respective jurisdictions, resolution authorities possess resolution tools and powers that can be employed to address circumstances in which a CCP [or the group including such CCPs] encounters serious financial difficulties.
In order to ensure the effectiveness of resolution actions in relation to internationally active CCPs [or the group including such CCPs], resolution authorities should share information and cooperate in the cross-border development of resolution plans and in the application of resolution tools and powers both in the business-as-usual situation to prepare for crisis and resolution and in a crisis and resolution situation.
Regulation (EU) 2021/23 of the European Parliament and of the Council (hereinafter ‘CCPRRR’) establishes a framework for the recovery and resolution of central counterparties in the EU. It notes that Union CCPs provide services to clearing members and their clients located in third countries and third-country CCPs provide services to clearing members and their clients located in the Union. Hence, effective resolution of internationally active CCPs requires cooperation between Member States and third-country authorities and Cooperation Arrangements should ensure effective planning, decision-making and coordination in respect of internationally active CCPs.
Article 79 of CCPRRR stipulates that the competent authorities or resolution authorities, where appropriate, shall conclude Cooperation Arrangements with the relevant third-country authorities, (a) where a third-country CCP provides services or has subsidiaries in one or more Member States, the relevant third-country authorities where the CCP is established; (b) where a CCP provides services in or has one or more third-country subsidiaries, the relevant thirdcountry authorities where those services are provided or where the subsidiaries are
established. Hence, cooperation should also take place with regard to subsidiaries of Union or third-country CCPs and their clearing members and their clients. The Cooperation Arrangement shall establish the processes and arrangements between the Parties for sharing the necessary information for, and cooperating in, carrying out certain tasks and exercising the powers under their respective legal frameworks in relation to the CCPs or the group including such CCPs. 2. Definitions
“CCP” means the [insert the name of the CCP(s) covered by the Cooperation Arrangement]. “Parties” means the [EU Authority] and the [TC Authority] jointly. “EU Authority” means the [insert the relevant authority(ies)] “TC Authority” means the [insert the relevant authority(ies)] “Cooperation Arrangement” means the agreement herein. “Equivalence Decision” means a decision pursuant to Article 45(3) of Regulation (EU) 2016/679. “Resolution College” means a resolution college established pursuant to Article 4(1) of CCPRRR. “Confidential Information” means any non-public information shared under the Cooperation Arrangement, requests made under the Cooperation Arrangement, the contents of such requests, and any other matters arising under the Cooperation Arrangement.
3. Objective of the Cooperation Arrangement
The Parties to the Cooperation Arrangement shall cooperate to ensure an orderly and coordinated resolution and to maintain financial stability, and in order to achieve a coordinated resolution strategy consistent with relevant legal frameworks and respective responsibilities.
Such cooperation and sharing of information will also aim at identifying the existence of cases where the resolution plan may materially adversely affect the financial stability or the domestic depositors or creditors and where consistent with responsibilities and legal frameworks, the necessary and appropriate steps to mitigate such cases.
The Cooperation Arrangement provides the agreed cross-border arrangement for the cooperation in resolution planning and during a resolution and crisis situation between the [EU Authority] and the [TC Authority]. The Cooperation Arrangement is to support cross-border information sharing and cooperation relating to resolution, including the development of resolution plans, to plan for the application of resolution tools and powers and to apply those resolution tools and powers in a crisis or resolution situation.
The Parties to the Cooperation Arrangement should interact, cooperate and exchange information for purposes of facilitating, among other things, the planning and orderly resolution of internationally active institutions or groups. To that end, the Parties will interact, cooperate and share information on a regular basis both during business-as-usual and in times of crisis, under the mutual understanding that a more intense cooperation and exchange of information are needed in time of crisis.
4. Scope of the Cooperation Arrangement
The Cooperation Arrangement notes the internationally agreed principles of the Financial Stability Board guidance and in particular the Key Attributes of Effective Resolution Regimes for Financial Institutions.
The Cooperation Arrangement is covering all areas of cooperation and sharing of information in order to support effective cross-border resolution planning and resolution action, having regard to the Parties’ scope of competence and powers.
Subject to the principle of proportionality, the Parties shall aim to share all relevant and material information, including but not limited to, general information on crisis and resolution considerations such as loss absorption and recapitalisation capacity, funding, continuity of critical functions, and operational continuity.
The Parties shall endeavour to share the information necessary for, and to cooperate to the extent relevant to, carrying out the tasks under Article 79 of CCPRRR and exercising the powers in relation resolution for the CCPs (or identified groups including such CCPs) under CCPRRR for the [EU Authority].

The Cooperation Arrangement is legally non-binding, it does not create enforceable rights, obligations, or liabilities; nor constitute waivers of immunity or privilege.
The Cooperation Arrangement shall be reviewed and amended from time to time by mutual consent. Any amendment shall be reflected in writing. Any Party may unilaterally withdraw from the Cooperation Arrangement by providing reasonable prior written notice to the other Party. Confidential information exchanged under the Cooperation Agreement shall still be considered confidential after the withdrawal of a Party.
The Cooperation Arrangement does not supersede any domestic or EU laws. The Cooperation Arrangement does not modify or supersede prior similar arrangements or agreements, such as memoranda of understanding, or statements of cooperation unless agreed between the parties in the Cooperation Arrangement.
The Parties should ensure that the Cooperation Arrangement does not conflict with prior similar arrangements or agreements to which they are parties.
5. Drawing up of Resolution Plan
The Parties agree to endeavour to exchange information necessary for the preparation, drawing up and maintenance of resolution plans in accordance with Article 12 of CCPRRR and with [insert the reference of the Commission Delegated Regulation under Article 12(7) of CCPRRR], adopted on the [insert details] and [insert the reference to the legal framework containing the similar requirements under the law of the relevant third countries].
In particular the [TC Authority] agrees to assist the [EU Authority] with information relevant for the preparation, drawing up and maintenance of the resolution plan where the information either relates to the services provided by the CCP/an EU CCP in [name of the TC] such a TC or where the CCP/an EU CCP has a subsidiary in [name of the TC] and this information is, in the view of the EU Authority, needed for the preparation, the drawing up and maintenance of the resolution plan.
In addition, the [TC Authority] agrees to provide information to the EU Authority on a TC CCP from [name of the TC] providing services in the EU where, in the view of the [EU Authority], it is relevant for the preparation, drawing up and maintenance of the resolution plan, i.e. where the resolution plan envisages the clearing offer to be taken into account.
The [EU Authority] agrees to provide the following resolution related information: [to be completed by the EU Authority].
The [TC Authority] agrees to provide the following resolution related information: [to be completed by the TC Authority].
The Parties agree to endeavour to consult and cooperate on the exercise of powers under enforcement procedures, further specified under Article 77 of CCPRR on the recognition and enforcement of third-country resolution proceedings and [insert references to the similar powers under the law of the relevant third countries].
6. Assessment of Resolvability
The Parties agree to endeavour to exchange information in relation to the assessment of the resolvability of the CCP, that shall take place at the same time as drawing up and updating the resolution plan and in accordance with; (a) Article 15 of CCPRRR; (b) Section C of the Annex of CCPRRR; and (c) the Guidelines [insert name] issued by ESMA in accordance with Article 15(5) of CCPRRR, with the aim to promote the convergence of resolution practices regarding the application of Section C of the Annex to CCPRRR for CCPs regulated by CCPRRR and [insert the reference to the legal framework containing the similar requirements under the law of the relevant third country] for CCPs regulated by [insert TC regulatory legal reference].
The [TC Authority] agrees to assist the [EU Authority] with information relevant for the assessment of the resolvability where the information either relates to the services provided by the CCP/an EU CCP in from [name of the TC] or where the CCP/an EU CCP has a subsidiary in [name of the TC] and this information is, in the view of the [EU Authority], needed for the assessment of resolvability.
The [TC Authority] agrees to endeavour to provide information to the EU Authority on a CCP from [name of the TC] providing services in the EU where, in the view of the EU Authority, it is relevant for the resolvability assessment.
7. Powers to address or remove impediments
The Parties agree to endeavour to exchange information in relation to the application of powers to address or remove impediments to resolvability pursuant to Article 16 of CCPRRR and [insert the reference to the legal framework containing the similar requirements under the law of the relevant third country].
The Parties agree to endeavour to avoid actions that could reasonably be expected to materially impede the resolvability by interfering with the resolution plan, triggering instability elsewhere in the CCP or group, or in the financial system of the other Party’s jurisdiction.
8. The application of early intervention measures
The Parties agree to endeavour to share information in relation to the application of early intervention measures pursuant to Article 18 of CCPRRR and the corresponding Guidelines
[insert name] issued by ESMA and [insert the reference to the legal framework containing the similar requirements under the law of the relevant third country].
The Parties agree to endeavour to cooperate in the assessment of early intervention measures by undertaking any of the following actions: (a) Inform the other Party where there are severe, significant and material breaches causing an early intervention measure assessment to be started,
(b) Inform the other Party that an assessment has concluded that the Authority will undertake an early intervention measure in relation to the CCP and provide a timing of the different steps,
(c) Discuss the situation and the risk it poses to the market and financial stability.
The Parties agree to endeavour to avoid actions that could reasonably be expected to materially impede the resolvability by adopting early intervention measures that could trigger instability elsewhere in the CCP or group, or in the financial system of the other Party’s jurisdiction.
9. The application of resolution tools and exercise of resolution powers
The Parties agree to endeavour to exchange information in relation to the application of resolution tools and exercise of resolution powers under CCPRRR and [insert the reference to the legal framework containing the similar requirements under the law of the relevant third country].
The Parties shall endeavour to coordinate the public communication in the case of joint resolution actions.
10. Procedures and arrangements for the exchange of information and cooperation
The Parties shall endeavour to exchange the information under the Cooperation Arrangement in accordance with the below: (a) Information in relation to resolution planning shall be provided within [insert timeline, e.g. 30 calendar days after the receipt has been received],
(b) Information in relation to resolvability assessment shall be provided within [insert timeline],
(c) Information in relation to the application of powers to address or remove impediments to resolvability shall be provided within [insert timeline],
(d) Information in relation to the application of early intervention measures shall be provided within [insert timeline],
(e) Information in relation to the application of resolution tools and exercise of resolution powers shall be provided within [insert timeline].
The Parties agree to endeavour to (i) accept the receipt of a request for information received by the other Party to the Cooperation Arrangement and to (ii) inform the other Party of any delay in providing the requested information by the deadline and provide an envisaged revised timeline for providing such information.
The Parties shall endeavour to intensify cooperation and exchange of information under the Cooperation Arrangement in time of crisis. In such cases, the Parties agree to cooperate and exchange information at a sufficiently early stage.
The Parties may agree to fulfil the requirements under the Cooperation Arrangement, where appropriate, through the establishment and operation of crisis management groups and resolution colleges.
11. Disclosure and onward sharing of confidential information
The Parties shall consider as Confidential Information non-public information shared under the Cooperation Arrangement, requests made under the Cooperation Arrangement, the contents of such requests, and any other matters arising under the Cooperation Arrangement. The terms of the Cooperation Arrangement are [not] confidential.
The Parties will hold confidential all Confidential Information and confirm that:
all persons dealing with or having access to any Confidential Information are subject to an obligation of professional or official secrecy or confidentiality.
these professional or official secrecy or confidentiality requirements apply to any person currently or previously employed by or acting on behalf of the Parties and
Any passing on of Confidential Information in breach of professional or official secrecy or confidentiality is unlawful in their respective jurisdiction, to the extent that the Confidential Information falls within the scope of the respective legal obligation of professional or official secrecy or confidentiality of the respective Parties.
The Parties recognise that information pertaining to resolution planning and execution is commercially sensitive and confidential. Access to such information, as well as to any other Confidential Information, should be restricted to those officials, employees and agents of the Parties who require the information to enhance preparedness for, and facilitate, supervision, financial stability, recovery and resolution (including resolution planning) or crisis management. Such data and information should be handled carefully and appropriately in the same manner applicable to similar information in each respective jurisdiction.
Where required for the performance of the Parties’ respective legal duties in connection with supervision or regulation, financial stability, recovery, resolution (including resolution planning) or crisis management, Confidential Information may be shared with agents acting on behalf of the Parties and bound by professional and/or official secrecy and/or confidentiality obligations substantially equivalent to those set out in the Cooperation Arrangement (e.g. audit firms).
Disclosure of confidential information to a third party should be done in accordance with Articles 8, 73 and 80 of CCPRRR and [insert the reference to the legal framework containing the similar requirements under the law of the relevant third country]. In some cases it should only take place with the prior written consent of the other Party and the assurance from the third party that they have a right to access the information under their legal framework and that they will not further disclose the information without prior consent of the Parties.
When a Party is required under law to disclose confidential information received, it shall fully co-operate with the other Party in order to keep the information confidential, to the extent permitted by the laws of the Party that requested the information. It shall consult with the other Party that provided the information before transmitting it to the requesting entity and where that Party does not consent itself with passing on the information, the Party forced to disclose confidential information will:
(a) assert the appropriate legal exemptions or privileges with respect to the information as may be available;
(b) advise the requesting entity that a forced disclosure could adversely affect the future transmission of confidential information by foreign supervisory authorities and request that the information be kept confidential by the requesting body.
The sharing and disclosure of information should not be considered as a waiver of privilege or of confidentiality.
12. Data protection – personal data
The Parties acknowledge on the one hand, that the EU Authority processes personal data, including that contained in the information received from the TC Authority, in accordance with
the applicable EU legal framework, notably with Regulation (EU) 2018/17252 or Regulation (EU) No 2016/6793 as the case may be, as well as [Adequacy Decision], and on the other hand, that the TC Authority processes personal data, including that contained in information received from the EU Authority, in accordance with [reference to the legal framework applicable to the TC Authority].
